The idea to provide a PPM template came from my own experience when several years ago my partner and I spent just under $20,000 to have our attorney draft a PPM for a transaction we had under LOI. As it turned out, we did all the writing (since we were putting the deal together), while the attorney made sure that the risks were presented, and that the right disclaimers and legends were in place.
The process was frustrating because 1) it took way too long with all the drafts going back and forth; and 2) the $18,000 was a tough pill to swallow because it came out of our pocket before we even began to raise capital.
